Executive shall devote substantially all of Executive’s working time and efforts to the business and affairs of the Company (which shall include service to Cyxtera Technologies, Inc.
This Service Schedule is governed by that certain Cyxtera Master Agreement (the “MA”) entered into by and between Customer, or its Affiliate, and Cyxtera.
If a Service installation is delayed, incomplete, or is not usable by Customer due to Customer’s actions or inactions (or the actions or inactions of any other party acting by or on behalf of Customer), Cyxtera will have the right to commence the BCD as if such Service was installed and commence billing for such Service as of such BCD.

During any dispute under the Contract Disputes Clause, Cyxtera shall proceed diligently with performance of this Agreement, pending final resolution of any request for relief, claim, appeal, or action arising under the Agreement, and comply with any decision of the Contracting Officer.
Following expiration of the Founder Shares Lock-up Period, the Private Placement Lock-Up Period or the Cyxtera Lock-up Period, as applicable, a Holder is permitted to assign or delegate such Holder’s rights, duties or obligations under this Agreement, in whole or in part, pursuant to Section 5.2.5.
Customer may, within thirty (30) days of receipt of such notice from Cyxtera, elect to terminate any affected Services without any obligation to pay any “Early Termination Charge” to Cyxtera in connection with such termination by providing written notice to Cyxtera (the “Termination Notice”), otherwise Customer will be deemed to have consented to such relocation.
If the Service needs to be moved due to Cyxtera’s reasonable business needs (e.g., repair, remodel or upgrade the area of Cyxtera premises at which the Service is located), Cyxtera may notify Customer of Cyxtera’s intention to relocate such Service, as applicable, to another area within the same Cyxtera premises or to another Cyxtera premises.
In the event such administrative assistant and/or driver is an employee of Cyxtera, the Company will reimburse Cyxtera for the costs of such employees, provided, that, in no event shall the Company be obligated to reimburse Cyxtera for any such costs relating to employment of such administrative assistant and/or driver from January 1, 2022 or thereafter.
Cyxtera will use commercially reasonable efforts to minimize any interruption in Services during any such relocation.
