Cubex Software definition

Cubex Software means the object code of (i) Cubex’s system software that is pre-installed on the System Hardware, (ii) the current version of Cubex’s web-hosted myQlink software, and (iii) so long as Customer is current on its monthly payments to Netsmart, all “Updates” to the Cubex Software made available by Cubex. The term “Cubex Software” does not include any third-party software that may be installed on or included with the System Hardware, including any software provided by the System Hardware manufacturer or any distributor. The term “Updates” means all bug fixes, patches, and error corrections to the Cubex Software that Cubex makes generally available.

  • In addition, this limited warranty does not apply if Customer has not properly operated, repaired or maintained the Cubex Software or the System Hardware, or if the System Hardware has been subject to abnormal physical or electrical stress.

  • Cubex may collect and use data generated through Customer’s use of the System Hardware, Cubex Software, myQlink software and the Cubex Customer Portal, including using such data in the aggregate to provide system optimization and sharing such data with third parties.

  • This warranty does not apply if Customer has not properly operated, repaired or maintained the Cubex Software or the System Hardware, or if the System Hardware has been subject to abnormal physical or electrical stress.

  • If, during the Warranty Period, Customer reports to Cubex any substantial non-conformance with the above warranty, Cubex will, as Customer's sole and exclusive remedy, make commercially reasonable efforts to repair or replace, at Cubex’s option, the Cubex Software or System Hardware, as applicable.

  • Cubex shall provide Customer with Updates to the Cubex Software if and when any such Updates are generally released by Cubex to its customers.

  • Cubex will coordinate the delivery (via the Internet) and assist Customer with its installation of all Updates when necessary, and will use reasonable efforts to minimize any disruption to Customer’s use of the Cubex Software when providing such Updates.

  • Cubex shall provide Customer telephone support (English only) designed to provide assistance in diagnosing, troubleshooting and attempting to resolve technical problems involving the most current version of the Cubex Software.

  • Any unauthorized use or misuse of the Cubex Software or System Hardware, as applicable, voids this warranty.

  • The Cubex Software License and related rights in clause (ii) above shall continue for the term hereof so long as Customer is current on its payments and the Software License and Support Fee contained therein to Cubex or any assignee thereof).

  • Cubex does not warrant that the operation of the Cubex Software or System Hardware will be uninterrupted.

Related to Cubex Software

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • Embedded Software means one or more software applications which permanently reside on a computing device.
