Corresponding Employees definition

Corresponding Employees means (i) with respect to Entertainment or the Entertainment Group, the Entertainment Employees, (ii) with respect to International or the International Group, the International Employees, (iii) with respect to Movie or the Movie Group, the Movie Employees, (iv) with respect to Production or the Production Group, the Production Employees, (v) with respect to Propinquity or the Propinquity Group, the Propinquity Employees, and (vi) with respect to STV or the STV Group, the STV Employees.

  • After the effective time of the Plan of Arrangement, the Parties shall take all necessary steps to cause all of the employees of CW Media and any employees of its Affiliates to resign, effective as of the Closing Date, from all positions as officers or directors of any member of each Group in which they serve (excluding any Corresponding Employees of such Group) and such employees will be replaced as of the Closing Date with officers and directors designated by the members of such Group.

  • More specifically, at the Effective Time CW Media shall resign as agent of the Corresponding Employees of each of the New Entities and its Group under the AA Group RRSP and each New Entity and its Corresponding Business shall takes all steps necessary to be appointed as the agent of its Corresponding Employees under its Corresponding Group RRSP as at the Effective Time.

  • Each New Entity shall Assume or retain or cause to be Assumed or retained all Liabilities with respect to the accrued, unused vacation of any of its Corresponding Employees.

  • Upon such transfer, the relevant New Entity, the relevant Corresponding Business and the relevant Corresponding DPSP shall Assume all Liabilities with respect to all amounts transferred from the AA DPSP to such Corresponding DPSP in respect of the relevant Corresponding Employees and each of CW Media, its Affiliates (for the avoidance of doubt, other than such Corresponding Business) and the AA DPSP shall be relieved of all such Liabilities.

  • Each New Entity and its Corresponding Group shall Assume or retain exclusive responsibility for all individual employment, retention, termination, severance and other similar agreements (collectively, “Employee Agreements”) in respect of any of its Corresponding Employees.

  • For the avoidance of doubt, Corresponding Employees who are on short-term disability or long-term disability as at the Effective Time shall be enrolled in and receive benefits under the Corresponding Benefit Plans for the Group to which they are Corresponding Employees, on and after the Effective Time.

  • As soon as practicable after the Effective Time, CW Media shall cause the individual account balances of Corresponding Employees held under the AA DPSP to be transferred from the AA DPSP to the applicable Corresponding DPSP.

  • Transferring Employees means employees of the Incumbent Contractor who are wholly or mainly assigned to work in the provision of the Service and who are subject of a Relevant Transfer to the Contractor by virtue of the application of the TUPE Regulations.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Company Employees shall have the meaning set forth in Section 6.10(a).

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Former Employees means Former Parent Group Employees and Former SpinCo Group Employees.

  • Current Employees has the meaning set forth in Section 6.4(a).

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Ongoing employee means an employee who has been employed for at least one complete standard measurement period.

  • Servicer Employees As defined in Section 2.12.

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • SpinCo Employee means any individual who, immediately following the Distribution Date, will be employed by Spinco or any member of the Spinco Group in a capacity considered by Spinco to be common law employment, including active employees and employees on vacation and approved leaves of absence (including maternity, paternity, family, sick, short-term or long-term disability leave, qualified military service under the Uniformed Services Employment and Reemployment Rights Act of 1994, and leave under the Family Medical Leave Act and other approved leaves).

  • Newly hired employee or “New Hire” means any employee, whether permanent, full-time, or part-time, hired by the Office and who is still employed as of the date of new employee orientation. It also includes all employees who are or have been previously employed by the Office and whose current position has placed them in the bargaining unit represented by CSEA. For those latter employees, for purposes of this article only, the “date of hire” is the date upon which the employees’ employment status changed as such that the employee was placed in the CSEA unit.

  • existing employee means an employee who elected to participate in the Virginia Sickness and

  • Welfare Plans shall have the meaning set forth in Section 3.2.4.

  • Continuing Employee has the meaning set forth in Section 6.7(a).

  • Business Employee means any Person who is a present or former employee of Seller at any time prior to or on the Closing Date, and who provided or previously provided any services relating to the Business.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Excluded Employees has the meaning set forth in Section 2.5(a)(iv).
