Any obligation on the Contractor to do, or to refrain from doing, any act or thing under this Agreement or otherwise shall include an obligation upon the Contractor to procure that all Contractor Persons also do, or refrain from doing, such act or thing.
The Contractor shall remain responsible for all acts and omissions of Contractor Persons, and the acts and omissions of those employed or engaged by the Contractor Persons, as if they were its own acts and omissions.
The Contractor shall not, and shall procure that the Contractor Persons do not, use the licensed materials for any other purpose or for the benefit of any person other than the DCC.
Subject to the Providers confidentiality commitments to the Contracting Authority, for the purposes of delivering services to the Contracting Authority and other clients of the Provider, the Contracting Authority and other Contractor Persons shall be entitled to use, develop or share with each other knowledge, experience and skills of general application gained through performing the Services.
The Contractor shall comply (and shall ensure all Contractor Persons comply) with any such decision by the DCC except to the extent that doing so would place any Contractor Person in breach of any Laws.

Uniforms to be worn by Contractor Persons must be distinguishable from those worn by other persons working in the Prison.
The foregoing waiver (i) by the Owner of certain rights as against Contractor shall also constitute a waiver of such rights as against the Contractor Persons and (ii) shall apply regardless of the fault or negligence of the Indemnified Person.
The Contractor Persons put forward by the Contractor to carry out the Services must be appropriately qualified and possess the knowledge and skills essential to perform the Services.
The Contractor will prepare a Quality Audit Plan for each Audit and will provide the Quality Audit Plan in advance to the Contractor’s personnel (with respect to an Internal Quality Audit) and to its Contractor Persons (with respect to an External Quality Audit) to confirm the scope and schedule of an Audit.
