Such Stockholder has not employed any investment banker, broker or finder in connection with the Contemplated Transactions who is entitled to any fee or any commission from Axiom, Circle8 or the Company or any of their respective Subsidiaries in connection with or upon consummation of the Conversion or any other transaction contemplated by the Acquisition Agreement.
As of the Closing Date, immediately after giving effect to the Transactions, Parent, the Borrower and their respective Subsidiaries, on a consolidated basis, are Solvent.
The provisions of this Section 9.05 (Expenses; Indemnity) shall remain operative and in full force and effect regardless of the expiration of the term of this Agreement, the resignation of any Agent, the consummation of the Transactions, the repayment of any monetary Obligations, the invalidity or unenforceability of any term or provision of this Agreement or any other Loan Document, or any investigation made by or on behalf of any Lender Party.

General Atlantic Partners AIV (EW), L.P., in its capacity as the TRA Party Representative (as such term is defined in the Tax Receivable Agreement), hereby waives acceleration of the Company’s obligations under Section 4.1(c) of the Tax Receivable Agreement, if any, arising from any “Change of Control” (as such term is defined in the Tax Receivable Agreement) occurring solely by virtue of the consummation of the Transactions.
