Counterparts may be delivered via facsimile, electronic mail (including any electronic signature covered by the U.S. federal ESIGN Act of 2000, Uniform Electronic Transactions Act, the Electronic Signatures and Records Act or other applicable law, e.g., www.docusign.com) or other transmission method and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes.
This Agreement, and all claims or causes of action based upon, arising out of, or related to this Agreement or the Transactions, shall be governed by, and construed in accordance with, the internal substantive Laws of the State of Delaware applicable to contracts entered into and to be performed solely within such state, without giving effect to principles or rules of conflict of laws to the extent such principles or rules would require or permit the application of Laws of another jurisdiction.
No Borrowing, use of proceeds or other Transactions will violate any Anti-Corruption Law or applicable Sanctions.
No authorizations, approvals or consents of, no filings or registrations with, any Governmental Authority are necessary for the consummation of the Transactions or for the validity or enforceability hereof or the notes delivered hereunder.
In connection with this Agreement or the Transactions, the Company may, in its sole discretion, suspend the exercise of any Company Options that are outstanding and unexercised during the period commencing immediately prior to the effectiveness of the Registration Statement and ending on the Closing, or such other period as determined appropriate by the Company in its sole discretion.
