Committee Date definition

Committee Date means either (x) the date in February of the applicable calendar year on which the Committee meets to determine the level of achievement of the performance criteria with respect to any performance-based equity awards or, (y) if there are no such awards for which performance is required to be measured during the applicable calendar year, as determined by the Committee, the first date in February of such calendar year on which the Committee meets or takes an action by unanimous written consent. Any shares of Restricted Stock not vested as of any date are herein referred to as “Unvested Stock.”
