Committed Debt Financing definition

Committed Debt Financing means the debt financing to be incurred pursuant to the Debt Commitment Letter.
Committed Debt Financing has the meaning set forth in Section 5.8(a).

Examples of Committed Debt Financing in a sentence

  • If Parent and the Company both consent (such consent not to be unreasonably withheld), inVentiv Group Holdings may from time to time substitute other financing for all or any portion of the Committed Debt Financing from the same and/or alternative financing sources.

  • Constellation shall promptly deliver to the Other Parties copies of any such termination, amendment, modification, waiver or replacement, including any Replacement Committed Debt Financing.

  • On the other hand, data subjects covered by the scope of the BCRs must become third party beneficiaries by means of inclusion of a ‘third party beneficiary clause’ within the BCRs, which must be given a binding effect either by unilateral undertakings (where possible under national law) or by contractual arrangements between the members of the corporate group.

  • In the event that the Best Efforts Debt Financing is not obtained on terms and conditions that are mutually satisfactory on or prior to the Closing Date, the Parties will utilize the Committed Debt Financing to effect the Parent Refinancing.

  • Neither the consummation of the Best Efforts Debt Financing nor the Committed Debt Financing is a condition precedent to the obligation of either Party hereunder.

  • Debt Financing has the meaning set forth in Section 5.7.

  • Financing Commitment means documentation provided by a third party extending monies for the purpose of supporting the proposed Project in a manner that outlines the terms and conditions of borrowings, grants and other financing instruments. Terms and conditions should be reflective of terms under which all parties are willing to close and fund. There should be no Material Changes to stated terms without documented cause between the issuance of a commitment and closing. Material Changes must be submitted to ADOH for approval in accordance with Section 5.5 of this Plan.

  • Financing Commitments has the meaning set forth in Section 5.7.

  • Refinancing Commitments shall have the meaning provided in Section 2.14(h).

  • Exit Financing means the financing under the Exit Facility.

  • Bridge Financing means interim financing to cover Eligible Project Costs until DWSRF financing for the project is received from the State Water Board.

  • SBIC Equity Commitment means a commitment by the Borrower to make one or more capital contributions to an SBIC Subsidiary.

  • Equity Commitment (a) options, warrants, convertible securities, exchangeable securities, subscription rights, conversion rights, exchange rights, or other Contracts that could require a Person to issue any of its Equity Interests or to sell any Equity Interests it owns in another Person; (b) any other securities convertible into, exchangeable or exercisable for, or representing the right to subscribe for any Equity Interest of a Person or owned by a Person; (c) statutory pre-emptive rights or pre-emptive rights granted under a Person’s Governing Documents; and (d) stock appreciation rights, phantom stock, profit participation, or other similar rights with respect to a Person.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Equity Commitment Letter has the meaning set forth in Section 4.5.

  • Revolving Credit Facilities means the collective reference to the Dollar Revolving Credit Facility and the Alternative Currency Revolving Credit Facility.

The aggregate amount of the Closing Date Term Loan Commitments as of the Closing Date is $820,000,000.

  • Refinancing Revolving Loans means one or more Classes of Revolving Loans that result from a Refinancing Amendment.
