Nothing in this Agreement shall be interpreted or construed to confer upon Optionee any right with respect to continued service of employment with Company or Collexis, as the case may be, nor shall this Agreement interfere in any way with the right of the Board of Directors or shareholders, acting pursuant to its Bylaws and/or articles of association of either Company or Collexis, as the case may be, to terminate Optionee's service of employment at any time.
In the event the Company and/or Collexis, directly or indirectly, is considered by the relevant tax and/or social security authorities to have a duty to withhold or pay any taxes, premiums and/or penalties in connection with the Agreement, Collexis shall be entitled to full and forthwith reimbursements by the Optionee for any such taxes, premiums and/or penalties it is held liable for.
Optionee herewith declares to indemnify Company and Collexis against any such liabilities.
Without prejudice to the provisions of Article 9, Customer undertakes to keep such Collexis Software and Equipment secret and not make third parties acquainted with them or grant their use to the same, and to use them only for the purpose for which they were placed at the Customer’s disposal, to the extent possible under Federal law, regulation and policy.
Each of the Employee Released Parties agrees to terminate any current legal proceedings it may have brought against the Collexis or any Collexis Released Party with prejudice.

If Collexis has secured the Collexis Software by means of some technical protection and obtained Customer approval, Customer will not be permitted to remove or evade such protection.
If, but only if, any inquiry is made regarding the financial condition or business practices of Collexis or any affiliate thereof, each of the Employee Released Parties, as the case may be, will respond to the effect that the financial condition and business practices thereof are not related to the Separation, and any inquiry regarding such financial condition or business practice should be addressed to CHI, and neither of the Employee Released Parties will not comment further.
Collexis agrees and agrees to cause its controlled affiliates to terminate any current legal proceedings it may have brought against any Employee Released Party (as defined below) with prejudice.
