Closing Debt Schedule definition

Closing Debt Schedule has the meaning specified in Section 1.05(a).

Closing Debt Schedule means a written schedule setting forth (a) the name of each holder of Closing Debt Amount of any of the Acquired Companies (or the agent thereof to the extent applicable), (b) the amount required to repay in full the Closing Debt Amount owed to such holder (which, in the case of any Closing Payments Indebtedness, shall be the amount as set forth in the applicable Payoff Letter delivered to Buyer in accordance herewith), and (c) in the case of the Closing Debt Amount for any Closing Payments Indebtedness, such holder’s wire transfer instructions as set forth in the applicable Payoff Letter delivered to Buyer in accordance herewith.

Related to Closing Debt Schedule

  • Closing Debt means the aggregate principal amount of, and accrued interest on, all Debt of the Company as of the close of business on the day immediately preceding the Closing Date.

  • Closing Indebtedness means Indebtedness of the Company and its Subsidiaries as of immediately prior to the Closing (without giving effect to the Transactions but including any prepayment penalties, premia, breakage costs or similar amounts payable with respect to the Closing).

  • Closing Date Refinancing means the repayment, repurchase, redemption, defeasance or other discharge of the Existing Debt Facility and termination and/or release of any security interests and guarantees in connection therewith.

  • Final Closing Indebtedness means the aggregate amount of Closing Indebtedness set forth in the Final Closing Statement.

  • Closing Indebtedness Amount means, as of immediately prior to the Effective Time, the aggregate amount of Indebtedness of the Company, including all accrued and unpaid interest, prepayment penalties or fees, and other unpaid fees and expenses payable in respect of such Indebtedness through the Effective Time.

  • Closing Working Capital Statement has the meaning set forth in Section 2.04(b)(i).

  • Closing Date Indebtedness means the aggregate amount of Indebtedness of the Company as of immediately prior to the Closing.

  • Seller's Closing Certificate means the certificate of Seller in the form of Exhibit C attached hereto.

  • Final Closing Statement has the meaning set forth in Section 2.4(a).

  • Amortization Schedule means, with respect to each Equipment Note, the amortization schedule for such Equipment Note delivered pursuant to Section 2.02 of the Trust Indenture.

  • Closing Date Net Working Capital means the Net Working Capital as of the Closing Date.

  • Construction Schedule means a construction schedule indicating the planned start and completion dates of the major activities of the Work as set out in Appendix [ ], a future Appendix;

  • Allocation Schedule has the meaning set forth in Section 2.07.

  • Closing Date Purchase Price shall have the meaning set forth in Section 2.1 hereof.

  • Post-Closing Statement has the meaning set forth in Section 3.3(c).
