Closing Conditions Side Letter means the side letter delivered by the Issuer and each Note Guarantor in connection with the execution of the Restructuring Documents containing certain conditions precedent to the execution and delivery of the Restructuring Documents, including the Closing Certificate attached thereto, substantially in the form of Exhibit B hereto.
Closing Conditions Side Letter means that certain letter executed by the Administrative Agent and acknowledged by the Borrower regarding the status of the satisfaction of the closing conditions in Section 4.01.

  • Target Closing Date means three (3) Business Days following receipt of the Approval and Vesting Order, or such other date as the Parties may agree.
