The permits which shall be provided by Client to support Contractor’s performances and construction are the Client Permits.
No material authorization, approval, exemption or consent by any governmental or public body or authority (other than the Client Permits and Contractor Permits as such Party’s responsibilities) is required to be obtained by such Party in connection with the authorization, execution, delivery and carrying out of the terms of this Agreement.
MATC Celular agrees to cooperate with Lessee, at Lessee's expense, in making application for and obtaining all Client Permits.
Unless Contractor shall have failed to comply with the immediately preceding sentence, Contractor shall not be responsible for any delay in achieving the Guaranteed Completion Dates due to any failure to obtain Client Permits.
Unless otherwise instructed by Client in writing in accordance with Section 2.02, MATC Celular will not be under any obligation to build any Build-to-Suit Site prior to obtaining the necessary Tower Site Permits or to incur any expense with respect to the Client Permits.
Client shall obtain all Client Permits prior to the installation of Client's Improvements and Equipment at such Site.
MATC Celular will cooperate in good faith with Client, at the request of Client and at Client's sole expense, to obtain the necessary Client Permits required to install Client's Improvements and Equipment.
Subject to Section 2.02 herein, MATC Celular shall endeavor to obtain all necessary Tower Site Permits for the Sites (and shall be responsible for all associated costs and expenses) and Client shall endeavor to obtain all necessary Client Permits (and shall be responsible for all associated costs and expenses).
