Class A-4 Policy. The irrevocable Certificate Guaranty Insurance Policy, No. 36813, including any endorsements thereto, issued by MBIA with respect to the Class A-4 Certificates, in the form attached hereto as Exhibit O.
Class A-4 Policy. The irrevocable Financial Guaranty Insurance ---------------- Policy, No. 50554A-N, including any endorsements thereto, issued by Financial Security with respect to the Class A-4 Certificates, in the form attached hereto as Exhibit O.

Examples of Class A-4 Policy in a sentence

  • The Master Servicer shall not resign from the obligations and duties hereby imposed on it except (a) upon appointment of a successor servicer and receipt by the Trustee of a letter from each Rating Agency that such a resignation and appointment will not result in a downgrading of the rating of any of the Certificates without regard to the guaranty provided by the Class A-4 Policy, or (b) upon determination that its duties hereunder are no longer permissible under applicable law.

  • The Trustee shall deposit any amount paid under the Class A-4 Policy into the Class A-4 Policy Payments Account and distribute such amount only for the purposes of making the payments to Holders of the Class A-4 Certificates in respect of the Required Distribution for which the related claim was made under the Class A-4 Policy.

  • Funds held in the Class A-4 Policy Payments Account shall not be invested by the Trustee.

  • However, any payments made on the Class A-4 Certificates from funds in the Class A-4 Policy Payments Account shall be noted as provided in subsection (e) below.

  • In addition, the Trustee shall mail notice to all Holders of the Class A-4, Class A-11, Class A-12 or Class A-13 Certificates so affected that, in the event that any such Holder's scheduled payment is so recovered, such Holder will be entitled to payment pursuant to the terms of the Class A-4 Policy, the Class A-11 Policy, the Class A-12 Policy or the Class A-13 Policy, as appropriate, a copy of which shall be made available to such Holders by the Trustee.

  • The Txxxxxx xxxxx xxxrender the Class A-4 Policy, Class A-11 Policy, Class A-12 Policy and Class A-13 Policy, as appropriate, to Financial Security for cancellation upon the expiration of the respective terms of such Policies as provided in such Policies.

  • However, any payments made on the Class A-4, Class A-11, Class A-12 or Class A-13 Certificates from funds in the Class A-4 Policy Payments Account, the Class A-11 Policy Payments Account, the Class A-12 Policy Payments Account or the Class A-13 Policy Payments Account, as appropriate, shall be noted as provided in subsection (e) below.

  • It remitted the remainder of the case concerning liability for damages for fresh consideration under the 1988 Act.

  • Notwithstanding any provisions herein to the contrary, on each Distribution Date following the first Distribution Date on or after the Senior Credit Support Depletion Date, distributions in reduction of the Class Certificate Balance of the Class A-4 Certificates (including amounts paid in respect of Realized Losses under the Class A-4 Policy) will be made among the Holders of the Class A-4 Certificates pro rata, based on Certificate Balances, and will not be made in integral multiples of $1,000.

  • Funds received by the Trustee as a result of any claim under the Class A-4 Policy, the Class A-11 Policy, the Class A-12 Policy or the Class A-13 Policy shall be used solely for payment to the Holders of the Class A-4, Class A-11, Class A-12 or Class A-13 Certificates, respectively, and may not be applied for any other purpose, including, without limitation, satisfaction of any costs, expenses or liabilities of the Trustee, the Master Servicer or the Trust Fund.

  • Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.

  • Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.

  • Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.

  • Class A-4 Notes means the 0.62% Asset Backed Notes, Class A-4, substantially in the form of Exhibit A-4 to the Indenture.

  • Initial Class A-3 Note Balance means $380,000,000.

  • Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.

  • Class A-4 Pass-Through Rate For any Distribution Date, a per annum rate equal to 3.1020%.

  • Class A-3 Pass-Through Rate With respect to any Distribution Date, a per annum rate equal to 3.205%.

  • Class A-3 Component The Component having such designation.

  • Class A-3 Note means any of the 1.34% Asset Backed Notes, Class A-3, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.

  • Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.

  • Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.

  • Class A-2-A Notes has the meaning assigned to such term in the Indenture.

  • Class A-4 Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-4 hereto.

  • Class A-3 Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-3 hereto.

  • Class A-2 Notes means the Class A-2a Notes and the Class A-2b Notes, collectively.

  • Class A-4 Component The Component having such designation.

  • Class A-4 Principal Balance as of any date means the Class A‑4 Initial Principal Balance less all amounts paid to the holders of Class A‑4 Notes in respect of principal pursuant to Section 5.06 hereof.
