City Indemnified Party definition

City Indemnified Party or "City Indemnified Parties" means the City, its employees, agents and independent contractors and consultants as set forth in Section 2.4 of this Agreement.

City Indemnified Party is defined in Section 12.1.

Examples of City Indemnified Party in a sentence

• The duty to defend hereunder is independent and separate from the duty to indemnify, and the duty to defend exists regardless of any ultimate liability of Contractor, the City, and any City Indemnified Party.

• If a City Indemnified Party requests that the Contractor defend it with respect to any Indemnified Loss, the City Indemnified Party may participate in the defense at the Contractor's sole cost and expense.

• I further agree to indemnify, defend and hold harmless a City Indemnified Party and an ESPHS Indemnified Party from and against any Claims by third parties arising out of my presence on the Property or my attendance at or participation in the Event.
