Unless otherwise defined herein, capitalized terms used in this note shall have the same meanings assigned to them in the Loan and Security Agreement, dated as of September 1, 2025 (the “Agreement”), by and among the Issuer, Sky Harbour Capital II LLC, the other borrowers from time to time party thereto (collectively, the “Borrowers”), and JPMorgan Chase Bank, N.A., as Administrative Agent (the “Administrative Agent”), on behalf of the Noteholders.
For the avoidance of doubt, so long as Chase or its Affiliate is the Administrative Agent, neither ▇▇▇▇▇ nor any of its Affiliates providing Banking Services for, or having Swap Agreements with, any Loan Party or any Subsidiary of a Loan Party shall be required to provide any notice described in this Section 2.22 in respect of such Banking Services or Swap Agreements.

Chase, as administrative agent or collateral agent on a syndicated facility, will post on the applicable electronic platform (or otherwise distribute to each Lender in the syndicate) documents that it receives in connection with the Flood Laws.
Without limiting the foregoing, the Loan Parties or their Affiliates may provide information, including updates to previously provided information to JPMorgan Chase Bank, N.A. and/or its Affiliates acting in different capacities, including as Lender, lead bank, arranger or potential securities investor, independent of such entity’s role as administrative agent hereunder.
