Canadian Purchaser hereby agrees to deliver to Canadian Seller, befroe the 20th calendar day of the month following the month in which the transactions herein are completed, either (i) copies of the required documentation to evidence the filing of the joint election under section 167 of the ETA, or (ii) the total amount of Tax owing by Canadian Purchaser and collectible by Canadian Seller pursuant to Part IX of the ETA in respect of the transactions contemplated herein.
