Bid Loan Lenders definition

Bid Loan Lenders. Lenders from time to time designated as Bid Loan Lenders by the Company by written notice to the Administrative Agent (which notice the Administrative Agent shall transmit to each such Bid Loan Lender).
Bid Loan Lenders means, collectively, U.S. Bid Loan Lenders and Euro Bid Loan Lenders; and “Bid Loan Lender” means any one of the foregoing.
Bid Loan Lenders. Banks from time to time designated by the Company as Bid Loan Lenders as provided in subsection 2.7.

  • If at any time the sum of the aggregate outstanding principal amount of the Bid Loans exceeds the Bid Loan Sublimit, then Borrower shall, within five (5) Business Days of such occurrence pay the amount of such excess to the Agent for the respective accounts of the Bid Loan Lenders, as applicable, for application to the Bid Loans as provided in §3.4, together with any additional amounts payable pursuant to §4.8.

  • The Company shall designate Banks from time to time as Bid Loan Lenders by written notice to the Administrative Agent.

  • For clarification, in no event shall (i) a Bid Loan be deemed to be a Committed Loan under this Agreement and/or (ii) a Bid Loan Lender's making of a Bid Loan under this Section 2.03 result in the reduction of such Lender's Applicable Percentage with respect to its Commitment to make Committed Loans under this Agreement.

  • Notwithstanding the foregoing, each Bid Loan Lender may, in its sole discretion, if there exists no Potential Event of Default or Event of Default, and without the consent or signature of the Administrative Agent or any other Lender (provided, however, that prompt notice thereof is provided by such Bid Loan Lender to the Administrative Agent), accept any prepayment on account of any such Bid Loan Lender's Bid Loans.

  • In accordance with subsection 2.2(b)(iv)(B) of the Credit Agreement, the undersigned accepts and confirms the offers by the Bid Loan Lender(s) to make Bid Loans to the undersigned on ________, 19__ [Bid Loan Date] under [clause (ii)] [clause (iii)] of said subsection 2.2(b) in the (respective) amount(s) set forth on the attached list of Bid Loans offered.

  • Borrower shall have the right, at its election, to prepay the outstanding amount of the Term Loans, the Revolving Credit Loans and Swing Loans, as a whole or in part, at any time without penalty or premium, and except as provided in the applicable Bid Loan Quote Request, Bid Loans may not be voluntarily prepaid at any time without the prior written consent of the Bid Loan Lender(s) making such Bid Loans.

  • There shall be no amendment, modification or waiver of any provision in the Loan Documents with respect to Swing Loans without the consent of the Swing Loan Lender or Bid Loans without the consent of the Bid Loan Lenders, nor any amendment, modification or waiver of any provision in the Loan Documents with respect to Letters of Credit without the consent of the Issuing Lender.

  • Bid Loan Lender means, in respect of any Bid Loan, the Lender making such Bid Loan to the Borrower.

  • Incremental Revolving Loan Lender shall have the meaning provided in Section 2.14(b).

  • Required Revolving Lenders means, as of any date of determination, Revolving Credit Lenders holding more than 50% of the sum of the (a) Total Revolving Credit Outstandings (with the aggregate amount of each Revolving Credit Lender’s risk participation and funded participation in L/C Obligations and Swing Line Loans being deemed “held” by such Revolving Credit Lender for purposes of this definition) and (b) aggregate unused Revolving Credit Commitments; provided that the unused Revolving Credit Commitment of, and the portion of the Total Revolving Credit Outstandings held or deemed held by, any Defaulting Lender shall be excluded for purposes of making a determination of Required Revolving Lenders.

  • Revolving Lenders means, as of any date of determination, Lenders having a Revolving Loan Commitment.

  • New Term Loan Lender shall have the meaning provided in Section 2.14(c).

  • Swing Loan Commitment means PNC Bank’s commitment to make Swing Loans to the Borrower pursuant to Section 2.1.2 hereof in an aggregate principal amount up to $10,000,000.

  • Other Revolving Credit Loans means one or more Classes of Revolving Credit Loans that result from a Refinancing Amendment.

  • Incremental Revolving Credit Lender means a Lender with an Incremental Revolving Credit Commitment or an outstanding revolving loan under the Credit Agreement of any class as a result of an Incremental Revolving Credit Commitment.

  • Majority Revolving Credit Lenders means Revolving Credit --------------------------------- Lenders having at least 51% of the aggregate amount of the Revolving Credit Commitments or, if the Revolving Credit Commitments shall have terminated, Lenders holding at least 51% of the sum of (a) the aggregate unpaid principal amount of the Revolving Credit Loans plus (b) the aggregate amount of all Letter of Credit Liabilities.

  • Revolving Credit Lenders means the financial institutions from time to time parties hereto as lenders of the Revolving Credit.

  • Tranche B Term Loan Lender each Lender that has a Tranche B Term Loan Commitment or is the holder of a Tranche B Term Loan.
