Basis Software definition

Basis Software or “Software” shall mean general purpose Basis computer software in binary form and associated documentation and help files included within or provided with the Basis Software (the “Documentation”) for which Customer is granted a license pursuant to this Agreement.

Examples of Basis Software in a sentence

  • The Customer may request implementation of upgrades of Basis Software, new releases or new versions of the Basis Software.

  • Customer must also require any or all parties receiving Customer’s software which contains the Basis Software, in whole or in part, to comply with and adhere to the restrictions provided herein, including the restrictions preventing reverse engineering, decompiling, and disassembling in Section 7.3.

  • The performance period for purposes of determining whether the Performance Award will be paid shall be January 1, 2014 through December 31, 2016 (the “Performance Period”).

  • If it is required because of economical or technical reasons, the Supplier is entitled to modify the configuration of Basis Software.

  • If the payment of licence fees causes increased costs in respect of the Basis Software, the payment specified in ANNEX 9 shall be adjusted according to the increased costs.

  • The Supplier may require implementation of new Basis Software, new releases or new versions of the Basis Software.

  • After the Commencement Date After the Commencement date, the following shall apply regarding rights to software, which the Supplier takes over from the Customer: For Basis Software the Supplier shall, unless otherwise specified in ANNEX 5, be joined in as a party to any licence agreements and maintenance agreements entered into with any sub-contractors, and the Supplier shall be liable to honour such agreements.

  • Implementation of extraordinary measures of performance and implementation -of new equipment and new or updated Basis Software, if the Supplier has given the Customer prior written notice regarding such implementation.

Related to Basis Software

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Supplier Software means any software which is proprietary to the Supplier (or an Affiliate of the Supplier which is or will be used by the Supplier or any Sub‐Contractor for the purposes of providing the Services or is embedded in and in respect of such other software as required to be licensed in order for DFID to receive the benefit of and/or make use of the Services;
