Audited 2013 Financial Statements definition

Audited 2013 Financial Statements means the audited consolidated income statement and statement of cash flows of the Company for Fiscal Year 2013 and the audited consolidated balance sheet of the Company as of the end of Fiscal Year 2013, in each case prepared in accordance with US GAAP or IFRS and audited by an accounting firm mutually agreed to by the holder holding a simple majority of Series B Preferred Shares and the Company.
Audited 2013 Financial Statements shall have the meaning set forth in Section 3.05.
