Atlas Merger definition

Atlas Merger means the transactions contemplated by the Atlas Merger Agreement.
Atlas Merger means on the Business Day immediately following the Issue Date, in accordance with the Atlas Acquisition Agreement, the merger of Atlas Merger Sub with and into Atrium Corporation, with Atrium Corporation being the survivor of such merger.

Examples of Atlas Merger in a sentence

  • Section 6.18(a) of the Original Credit Agreement is hereby amended by adding the following sentence to the end thereof: Notwithstanding the previous sentence, upon the consummation of the Atlas Merger, Atlas Pipeline and its Subsidiaries shall be Unrestricted Subsidiaries under this Agreement until the Borrower designates any such entity as a Restricted Subsidiary in accordance with this Section 6.18.

  • The definition of “Unrestricted Subsidiary” in Section 1.01 of the Original Credit Agreement is hereby amended by adding the following sentence to the end thereof: Upon the consummation of the Atlas Merger, Atlas Pipeline and its Subsidiaries shall be Unrestricted Subsidiaries under this Agreement until the Borrower designates any such entity as a Restricted Subsidiary in accordance with Section 6.18.
