Assumed Expenses definition

Assumed Expenses has the meaning assigned to it in Section 1.1(a).
Assumed Expenses means:
Assumed Expenses means (i) the Ordinary Course trade accounts payable (including, without limitation, for utilities, garbage collection, phone service and cell phone service) and accrued expenses (including, without limitation, accrued but unpaid accounting fees, real estate taxes, compensation, insurance, employee benefits, vacation and sick pay) of the Subject Business as of the Closing Date of the type identified on the Estimated Closing Date Balance Sheet, and (ii) accrued reasonable attorneysfees and expenses relating to the transactions contemplated hereby in an amount not to exceed Fifteen Thousand Dollars ($15,000) as reflected on the Estimated Closing Date Balance Sheet.
