APB Board means the board of directors of APB.

• Notwithstanding the preceding sentence, in the event that subsequent to the date of this Agreement the APB Board determines after consultation with independent legal counsel that its fiduciary duties require it to withdraw, modify or qualify such recommendation, the APB Board may, prior to the APB Meeting, so withdraw, modify or qualify its adoption of this Agreement or such recommendation.
