No automatic stay under the federal bankruptcy code with respect to either of the Originators or Affiliated Servicer or other federal, state or other applicable bankruptcy, insolvency or reorganization statutes to which either of the Originators or Affiliated Servicer is subject shall postpone the obligations of Performance Guarantor under this Undertaking.
The payment of any amounts due with respect to any Indebtedness of either of the Originators or Affiliated Servicer now or hereafter owed to Performance Guarantor is hereby subordinated to the prior payment in full of all of the Guaranteed Obligations.
Guarantor has duly executed this Guaranty as of the date first written above.
No Material Adverse Change in the condition of the Issuer, any Affiliated Servicer or the Master Servicer (or, to Issuer's knowledge, any Third Party Servicer) has occurred and is continuing.
