AEGIS NOTES definition

AEGIS NOTES means the unsecured, payment-in-kind subordinated debt issued by Aegis to the order of the Parent, bearing interest at a rate not in excess of 12% per annum (other than following the occurrence of certain events, after which time interest shall accrue at 15% per annum) and which is convertible into shares of common stock of Aegis at a conversion price of $2.00 per share, on terms satisfactory to the Agents.

  • MAC Notes The Classes of Modifiable And Combinable STACR® Notes shown on

  • 2016 Notes means the aggregate principal amount of US$460,000,000 of 4.25% Convertible Senior Notes Due 2016 issued pursuant to the 2016 Note Indenture.

  • 2011 Notes means those certain notes issued pursuant to the Note Purchase Agreement dated as of March 22, 2011 among the Company and the purchasers named in Schedule A thereto.

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • 2014 Notes means the aggregate principal amount of US$399,517,000 of 10.25% Guaranteed Senior Notes Due 2014 issued pursuant to the 2014 Note Indenture.
