Acquired Data definition

Acquired Data means the First Closing Assets Data and the Second Closing Assets Data.
Acquired Data means all technical information and data (digital or otherwise) and Samples, directly or indirectly, relating to the Exploration Area that are obtained
Acquired Data shall have the meaning set forth in Section 2.1(g).

Examples of Acquired Data in a sentence

  • As of the Closing Date, Purchaser has been, or subject to Seller’s compliance with this Agreement, will be, afforded a reasonable and appropriate opportunity to visit the offices of Seller and to examine the Acquired Data and the Acquired Records and all other documents and materials requested by Purchaser or its authorized representatives or advisors (except those related to Excluded Assets) with respect to the Acquired Assets and the Assumed Liabilities (the “Background Materials”).

  • If Schlumberger Group provides feedback about Acquired Data to Customer Group, Customer Group may use that information without obligation to Schlumberger Group; however, Schlumberger Group retains all right, title, and interest in any feedback or suggestions provided by Schlumberger Group to Customer Group.

  • To the Knowledge of such Seller, all Transferred Books and Records and Acquired Data (excluding all Contracts) are accurate and complete in all material respects and are maintained in all material respects in accordance with good business practices and all applicable Legal Requirements.

  • Purchaser agrees that any conclusions drawn from the Acquired Records, Acquired Data, Background Materials or any such other information shall be the result of its own independent review and judgment.

  • For the avoidance of doubt, all Intellectual Property owned by any Seller or its Affiliates, other than the Acquired Data and any copyrights in the Transferred Books and Records, shall be considered “Excluded Assets” for purposes of Section 2.1(c) of this Agreement.


More Definitions of Acquired Data

Acquired Data as defined in Section 2.1(b)(v).
Acquired Data means the data collected by Seller prior to the Closing Date from the performance of audits, assessments, and verifications and the information collected by Seller prior to the Closing pertaining to the auditors, assessors and verifiers used in the Acquired Business.
Acquired Data data that is acquired by any of the Schlumberger Group and is related to (a) Equipment Data or (b) Oilfield Data.
Acquired Data means any new seismic, geochemical, geological and/or other geophysical data that … M/s AAA … may acquire under this Agreement. For the avoidance of doubt, Acquired Data is not Broker Data;
Acquired Data means any Personal Data to which Data Protection Law applies which is acquired or Processed by the Purchaser pursuant to the terms of this Agreement;
Acquired Data means all data owned by (i) the Seller that is used or held for use in, or otherwise necessary for, the business of the Company as currently conducted or (ii) any of the other Debtors that is exclusively used or held for use in or otherwise exclusively related to the business of the Company as currently conducted, in each case of the foregoing (i) and (ii), whether (a) contained in Seller-owned or Company-owned data centers or databases or those stored by third parties on behalf of the Seller or any of the other Debtors, or (b) otherwise collected, accessed, acquired, stored, protected, used, or otherwise processed by or on behalf of the Seller or any of the other Debtors.
Acquired Data means data or information acquired or generated by Contractor pursuant to the provision of services funded under this Agreement.
