ACCO Common Stock definition

ACCO Common Stock means the common stock, par value $.01 per share, of ACCO.
ACCO Common Stock means the common stock of ACCO Brands Corporation as now constituted and any other common stock into which it may be reclassified.
ACCO Common Stock means the Common Stock, par value $1.00 per share, of ACCO, which following the consummation of the actions contemplated by Section 2.05 will have a par value of $.01 per share.

  • This information will include the names and current addresses of Participants, former Participants and Beneficiaries and the number of shares of ACCO Common Stock credited to the accounts of each of them, upon which the Trustee may conclusively rely.

  • The Trustee will combine fractional interests of Participants, former Participants and Beneficiaries in shares of ACCO Common Stock held in the ACCO Stock Fund to the extent possible so that the voting rights with respect to such matter are exercised in a manner which reflects as accurately as possible the collective directions given by Participants, former Participants and Beneficiaries.

  • If, prior to the sale of the rights by the Trustee to ACCO, ACCO determines to exchange the rights for shares of ACCO Common Stock, the Trustee will surrender the rights that it holds in exchange for shares of ACCO Common Stock.

  • Except to the extent otherwise specified in such opinion, order or decree, the Trustee will have no discretion or authority in such circumstances to exercise voting rights with respect to shares of ACCO Common Stock held in the ACCO Stock Fund, but will exercise such voting rights in accordance with the most recent dated timely directions received from Participants, former Participants and Beneficiaries to the extent such directions have not been invalidated.

  • With respect to the voting rights of shares of ACCO Common Stock held in the ACCO Stock Fund as to which timely directions have not been received by the Trustee as provided in the preceding sentence, the Trustee will exercise the voting rights of such shares in the same manner and in the same proportion in which the voting rights of shares as to which such directions were received by the Trustee are to be exercised as provided in the preceding sentence.

  • For purposes of this Section 5.08, a “tender offer” will mean any tender or exchange offer for or request or invitation for tenders or exchanges of shares of ACCO Common Stock and will include, without limitation, any such tender offer made by or on behalf of ACCO.

  • The Investment Managers will have the sole authority to exercise the right to vote proxies with respect to any securities held in the Trust, except as otherwise provided in Section 5.15 and except for proxies with respect to ACCO Common Stock held in the ACCO Stock Fund, Fortune Common Stock held in the Fortune Stock Fund and Gallaher ADRs held in the Gallaher Fund.

  • Notwithstanding any other provision of the Plan or the Trust Agreement to the contrary, the Trustee will have no discretion or authority to tender, deposit, sell, exchange or transfer any shares of ACCO Common Stock (which, for purposes of this Section 5.08, will include any rights within the meaning of Section 5.09(a)) held in the ACCO Stock Fund pursuant to any tender offer (as defined herein) except as provided in this Section 5.08.

  • Except to the extent otherwise specified in such opinion, order or decree, the Trustee will have no discretion or authority in such circumstances to provide exercise voting rights with respect to ACCO Common Stock held in the ACCO Stock Fund, but will exercise such voting rights in accordance with the most recent timely directions received from Participants, former Participants and Beneficiaries to the extent such directions have not been invalidated.

  • Upon any distribution from the ACCO Stock Fund as a single distribution pursuant to Section 8.01(a)(2), all whole shares of ACCO Common Stock distributable therefrom will be registered in the name of the distributee and delivered to him together with any cash from the ACCO Stock Fund to which the distributee is entitled.

  • Newco Common Stock means the common stock, par value $.01 per share, of Newco.

  • Pubco Common Stock means all classes and series of common stock of Pubco, including the Class A Common Stock and Class B Common Stock.

  • SpinCo Common Stock means the common stock, par value $0.01 per share, of SpinCo.

  • Amalco Common Shares means the common shares in the capital of Amalco;

  • New Common Stock means shares of Common Stock and/or securities convertible into, and/or other rights exercisable for, Common Stock, which are offered or sold in a New Transaction.

  • Holdings Common Stock means the common stock, par value $0.01 per share, of Holdings.

  • Parent Common Stock means the common stock, par value $0.01 per share, of Parent.

  • Old Common Stock means the Company's common stock, par value $.01 per share, outstanding as of the date of the Company's filing of the petition commencing the Chapter 11 Case.

  • Series A Common Stock means the Series A Common Stock, par value $0.01 per share, of the Company.

  • Existing Common Stock means shares of common stock of Delphi that are authorized, issued, and outstanding prior to the Effective Date.

  • Additional Common Stock herein shall mean in the most broadest sense all shares of Common Stock hereafter issued by the Borrower (including, but not limited to Common Stock held in the treasury of the Borrower and common stock purchasable via derivative security or option on the date of such grant ), except Common Stock issued upon the conversion of any of this Convertible Note or Warrant.

  • Merger Sub Common Stock means the common stock, par value $0.01 per share, of Merger Sub.

  • Purchaser Common Stock means the common stock, par value $0.01 per share, of Purchaser.

  • Fully-Diluted Common Stock means, at any time, the then outstanding Common Stock plus (without duplication) all shares of Common Stock issuable, whether at such time or upon the passage of time or the occurrence of future events, upon the exercise, conversion, or exchange of all then outstanding Common Stock Equivalents.

  • Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of the Company.

  • Parent Class A Common Stock means the Class A Common Stock, par value $0.01 per share, of Parent.

  • Seller Common Stock means the common stock, par value $0.01 per share, of Seller.

  • Target Common Stock means the common stock, $.0001 par value per share, of Target.

  • Common Stock means the common stock of the Company, par value $0.001 per share, and any other class of securities into which such securities may hereafter be reclassified or changed.

  • Common Stock Price means, as of a particular date, the average of the Fair Market Value of one share of Common Stock over the fifteen (15) consecutive trading days ending on, and including, such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date); provided, however, that if such date is the date upon which a Transactional Change of Control occurs, the Common Stock Price as of such date shall be equal to the fair value, as determined by the Committee, of the total consideration paid or payable in the transaction resulting in the Transactional Change of Control for one share of Common Stock.

  • Voting Common Stock means the voting common stock, par value $0.01 per share, of the Company.

  • Ordinary Shares shall have the meaning given in the Recitals hereto.

  • Series B Common Stock means the Series B Common Stock, par value $0.01 per share, of the Company.

  • Parent Common Shares means the common shares of beneficial interest, $0.01 par value per share, of Parent.

  • Additional Shares of Common Stock means all shares of Common Stock issued (or, pursuant to Subsection 4.4.3 below, deemed to be issued) by the Corporation after the Original Issue Date, other than (1) the following shares of Common Stock and (2) shares of Common Stock deemed issued pursuant to the following Options and Convertible Securities (clauses (1) and (2), collectively, “Exempted Securities”):

  • Company Common Stock means the common stock, par value $0.01 per share, of the Company.
