Touchmark Bancshares, Inc., a Georgia corporation (formerly Touchstone Bancshares, Inc.) (the “Company”), and Touchmark National Bank, a national banking association in organization (the “Bank”), proposes, subject to the terms and conditions stated herein, to engage SAMCO Capital Markets, Inc.
