First Alliance Mortgage Company in its capacities as seller (the "Seller") and as servicer (the "Servicer") and First Alliance Mortgage Loan Trust 1998-3, as the "Purchaser", pursuant to the Pooling and Servicing Agreement dated as of September 1, 1998, (the "Pooling and Servicing Agreement") among the Seller, the Servicer, the Purchaser and Norwest Bank Minnesota, National Association, a national banking association, in its capacity as Trustee (the "Trustee"), hereby confirm their understanding with respect to the sale by the Seller and the purchase by the Purchaser of those Mortgage Loans (the "Subsequent Mortgage Loans") listed on the attached Schedules of Mortgage Loans.
