YOUR DUTIES WHEN LOSS OCCURS. Upon knowledge or discovery of a loss or an occurrence which may become a claim under this insurance, you must provide notice of claim by informing us or one of our authorized agents as soon as is possible. You must also notify the police if the loss involves a violation of the law. Upon notice of claim, we will send you certain forms and request certain information, which you must complete and furnish to establish proof of loss. You must furnish all information and evidence required by us in such forms and of such nature as we may request, to include, but not limited to, detailed receipts, as well as other records supporting your claim for coverage under this policy. You must cooperate with us in all matters concerning your loss or claim, and upon our request submit to an examination under oath. General Policy Conditions

  • Duties After Loss In case of a loss to covered property, we have no duty to provide coverage under this policy if the failure to comply with the following duties is preju- dicial to us. These duties must be performed ei- ther by you, an "insured" seeking coverage, or a representative of either:

  • Your Duties You must pay for and replace batteries as needed, unless the law provides otherwise. We may re- place dead or missing batteries at your expense, with- out prior notice to you. You must immediately report alarm or detector malfunctions to us. Neither you nor others may disable alarms or detectors. If you damage or disable the smoke alarm, or remove a battery with- out replacing it with a working battery, you may be li- able to us under Texas Property Code sec. 92.2611 for $100 plus one month’s rent, actual damages, and at- xxxxxx’x fees. You’ll be liable to us and others if you fail to report malfunctions, or fail to report any loss, dam- age, or fines resulting from fire, smoke, or water.

  • Reporting of Total Compensation of Subrecipient Executives I. Applicability and what to report. Unless you are exempt as provided in paragraph [4.]of this award term, for each first-tier subrecipient under this award, you shall report the names and total compensation of each of the subrecipient's five most highly compensated executives for the subrecipient's preceding completed fiscal year, if—

The parties shall execute, or procure the execution of, such documents and instruments as may be reasonably necessary to give effect to this Section 3.7.

  • End of Term Duties Upon any termination hereunder, Licensee and its Affiliates shall immediately cease Use of all SAP Materials and Confidential Information. Within thirty (30) days after any termination, Licensee shall irretrievably destroy or upon SAP’s request deliver to SAP all copies of the SAP Materials and Confidential Information in every form, except to the extent it is legally required to keep it for a longer period in which case such return or destruction shall occur at the end of such period. Licensee must certify to SAP in writing that it has satisfied its obligations under this Section 5.2. Licensee agrees to certify in writing to SAP that it and each of its Affiliates has performed the foregoing. Sections 3, 4, 5.2, 6, 7.2, 8, 9, 10, 12.4, 12.5, 12.6 and 12.8 shall survive such termination. In the event of any termination hereunder, Licensee shall not be entitled to any refund of any payments made by Licensee. Termination shall not relieve Licensee from its obligation to pay fees that remain unpaid.

  • Devotion to Duties While you are employed hereunder, you will use your best efforts, skills and abilities to perform faithfully all duties assigned to you pursuant to this Agreement and will devote your full business time and energies to the business and affairs of the Company. While you are employed hereunder, you will not undertake any other employment from any person or entity without the prior written consent of the Company.

  • Employee Duties The Employee agrees that they will act in accordance with this Agreement and with the best interests of the Employer in mind, which may or may not require them to present the best of their skills, experience, and talents, to perform all the duties required of the position. In carrying out the duties and responsibilities of their position, the Employee agrees to adhere to any and all policies, procedures, rules, regulations, as administered by the Employer. In addition, the Employee agrees to abide by all local, county, State, and Federal laws while employed by the Employer.

  • Normal Duties (a) Faculty members are accountable for 10 months of the year. The 10 months accountable time includes such activities as teaching, the counselling of students, curriculum/program development, professional development and participation on a variety of educational committees.

  • Employment Duties The Company hereby employs the Executive for the Term (as defined in Section 2.1), to render exclusive (except as otherwise provided herein) and full-time services to the Company as Executive Vice President or in such other executive position as may be mutually agreed upon by the Company and the Executive, and to perform such other duties consistent with such position as may be assigned to the Executive by the Board of Directors or any officer of the Company senior to the Executive.
