L.C. is a limited liability company duly organized, validly existing and in good standing under the laws of the state of Delaware, authorized to do business in the state of Nebraska and has full power and authority to execute and deliver this Agreement and to perform its obligations hereunder, subject to any necessary regulatory approval.
