Common use of Written Action Clause in Contracts

Written Action. Any action that may be taken at a meeting of the Members may be taken without a meeting if done in writing and signed by Members who hold at least the number of Voting Percentages (Regular) or (Special), as applicable, that could approve such action at a meeting of the Members at which all Members were present. When written action is taken by fewer than all Members, the Board of Managers will notify all Members of the text and effective date of the action immediately. Failure to provide the notice does not invalidate the written action.
