Written Action. Any action which might be taken by the sole Manager or at a meeting of the Board of Managers, or any duly constituted committee thereof, may be taken without a meeting if done in writing and signed by, as the case may be, the sole Manager or a majority of the members of the Board of Managers or of such committee members.
Written Action. Any action required to be taken at any annual or special meeting of Shareholders of the Company, or any action which may be taken at any annual or special meeting of such Shareholders, may be taken without a meeting, without prior notice and without a vote, if a consent in writing, setting forth the action so taken, shall be signed by the holders of Shares having not less than the minimum amount that would be necessary to authorize or take such action at a meeting at which all interests in the Company entitled to vote thereon were present and voted.

Unless otherwise restricted by the Certificate of Incorporation or these Bylaws, any action required or permitted to be taken at any meeting of the Board of Directors or of any committee thereof may be taken without a meeting, without prior notice and without a vote, if all members of the Board or of such committee, as the case may be, consent thereto in writing, and the writing or writings are filed with the minutes of proceedings of the Board or committee.
Written Action. Any action required or permitted to be taken at any meeting of the Governing Committee or any committee thereof may be taken without a meeting if all members of the Governing Committee or committee, as the case may be, consent thereto in writing or by electronic transmission.
Written Action. Any action required or permitted to be taken at -------------- any meeting of the Members may be taken without a meeting if the Members having the votes necessary to take action at a meeting at which all Members are present consent to the action in one or more writings (of substantially similar tenor) and the written actions are filed with the records of the Company. Each such written action shall be treated for all purposes as an action taken at a meeting.

Any Electronic Transmission consenting to an action to be taken and transmitted by a Member, or by a Person or Persons authorized to act for a Member, shall be deemed to be written for purposes of this Section 4.13, provided that any such Electronic Transmission sets forth information from which the Company can determine that the Electronic Transmission was transmitted by the Member or a Person authorized to act for the Member. The date on which such Electronic Transmission is transmitted shall be deemed to be the date on which such consent was signed.

Any action required to be, or which may be, taken by the Board may be taken without a meeting if consented thereto in a writing setting forth the action so taken and signed by a majority of the Directors. Such consent shall have the same force and effect as vote at a meeting, and the execution of such consent shall have the same effect as attendance or presence in person at a meeting of the Board or any committee thereof, as the case may be.
