Without limiting Buyer’s rights to. terminate this contract in accordance with the provisions set out herein, any and all claims, disputes, proceedings or other matters in question (“Dispute”) arising out of or relating to this contract or the breach thereof which cannot be amicably resolved by good faith negotiations between the parties shall be irrevocably referred to final and binding arbitration to be conducted in Toronto, Ontario, Canada pursuant to the provisions of Ontario’s Arbitration Act, 1991, as amended from time to time, and the parties waive any objection to the enforceability of any final arbitral award.
