Common use of Withdrawals Clause in Contracts

Withdrawals. Except as explicitly provided elsewhere herein, no Member shall have any right to (a) withdraw as a Member from the Company, (b) withdraw from the Company all or any part of such Member’s Capital Contributions, (c) receive property other than cash in return for such Member’s Capital Contributions or (d) receive any distribution from the Company, without the consent of the other Members except in accordance with Article V and Article XI.

Withdrawals. Except as explicitly provided elsewhere herein, no Member shall have any right to (a) to withdraw as a Member from the Company, (b) to withdraw from the Company all or any part of such Member’s Capital Contributions, (c) to receive any property other than or cash in return for such Member’s Capital Contributions or in respect of distributions to the Preferred Members in accordance with Article V or (d) to receive any distribution from the Company, without the consent of the other Members except in accordance with Article V and Article XIIX hereof.

Withdrawals. Except as explicitly provided elsewhere herein, no Member shall have any right to (a) to withdraw as a Member from the Company, (b) to withdraw from the Company all or any part of such Member’s Capital Contributions, (c) to receive any property other than or cash in return for such Member’s Capital Contributions or in respect of distributions to the Preferred Members in accordance with Article V other than pursuant to Section 5.04 or (d) to receive any distribution from the Company, without the consent of the other Members except in accordance with Article V and Article XIIX hereof.

Except as explicitly provided elsewhere herein, no Member shall have any right to (a) withdraw as a Member from the Company, (b) withdraw from the Company all or any part of such Member’s Capital Contributions, (c) receive property other than cash in return for such Member’s Capital Contributions or (d) receive any distribution from the Company, without the consent of the other Members except in accordance with Article V and Article XIIX.

Except as explicitly provided elsewhere hereinin this Agreement, no Member shall have any right be entitled to (a) withdraw as a Member from the Company, (b) withdraw from the Company all or any part of such its Capital Account. A Member’s , irrespective of the nature of its Capital Contributions, (c) shall only have the right to receive property other than cash distributions in return for cash, although such Member’s Capital Contributions or (d) Member may receive any a distribution from in kind upon the Company, without the consent approval of the other Members except in accordance with Article V and Article XIMembers.

Withdrawals. Except as explicitly provided elsewhere herein, no No Member shall have any right be entitled to (a) withdraw as a Member from the Company, (b) withdraw from the Company all or any part of such Member’s Capital Contributions, (c) receive property other than cash in return for such Member’s Capital Contributions or (d) receive any distribution Contribution from the Company, Company without the consent of the other Members Manager which may be given or withheld in its sole discretion; provided, however, that nothing contained herein shall prohibit a Member from resigning as a Member and abandoning its interest in the Company. No Member shall be entitled to receive any distributions from the Company except as expressly provided in accordance with Article V and Article XIthis Agreement.

Withdrawals. Except as explicitly expressly provided elsewhere hereinin this Agreement, or in Article V and Article IX of the Master Agreement, no Member shall have any right to (a) to withdraw as a Member from the Company, Company so long as such Member continues to hold any Interests; (b) to withdraw from the Company all or any part of such Member’s Capital Contributions, ; (c) to receive property other than cash in return for such Member’s Capital Contributions Contributions; or (d) to receive any distribution from the Company, without the consent of the other Members except in accordance with Article V and Article XI.
