Common use of Warranties True and Correct Clause in Contracts

Warranties True and Correct. Each of the representations and warranties of the Borrower and its Subsidiaries set forth herein and in the Credit Documents shall be true and correct in all material respects as of the date of such new Borrowing, except as a result of the transactions permitted hereunder or except to the extent that any such representation or warranty relates solely to an earlier date, in which case it shall have been true and correct as of such earlier date;
