Voluntary Termination by the Company. The Company may terminate ------------------------------------ Executive's employment for "Company's Good Reason," which for purposes of this ------ Agreement shall mean a material breach by Executive of any material provision of this Agreement or violation in any material respect of a written directive of the Board in accordance with Section 2 which has not been cured within ten (10) days after written notice to Executive.
