Common use of VERACITY Clause in Contracts

VERACITY. No representation or warranty of the Company contained in this Agreement contains any untrue statement of a material fact or omits to state a material fact necessary in order to make the statements contained herein, in light of all the circumstances under which they were made, not misleading, and there is no fact or condition known to the Company which has not been disclosed in writing to the Purchaser that has had or would reasonably be likely to have a material adverse effect on the Company's ability to perform its material obligations under this Agreement.
