Common use of Utility Billing Information Clause in Contracts

Utility Billing Information. In the event that Tenant is permitted to contract directly for the provision of electricity, gas and/or water services to the Premises with the third party provider thereof (all in Landlord’s sole and absolute discretion), Tenant shall promptly, but in no event more than ten (10) business days following its receipt of each and every invoice for such items from the applicable provider, provide Landlord with a copy of each such invoice. Tenant acknowledges that pursuant to California Public Resources Code Section 25402.10 and the regulations adopted pursuant thereto (collectively the “Energy Disclosure Requirements”), Landlord may be required to disclose information concerning Tenant’s energy usage at the Building to certain third parties, including, without limitation, prospective purchasers, lenders and tenants of the Building (the “Tenant Energy Use Disclosure”). Tenant hereby (i) consents to all such Tenant Energy Use Disclosures, and (ii) acknowledges that Landlord shall not be required to notify Tenant of any Tenant Energy Use Disclosure. Further, Tenant hereby releases Landlord from any and all losses, costs, damages, expenses and liabilities relating to, arising out of and/or resulting from any Tenant Energy Use Disclosure. The terms of this Section 13 shall survive the expiration or earlier termination of the Lease, as hereby amended.

The terms of this Section 13 29.37 shall survive the expiration or earlier termination of the this Lease, as hereby amended.

Tenant hereby (iA) consents to all such Tenant Energy Use Disclosures, and (iiB) acknowledges that Landlord shall not be required to notify Tenant of any Tenant Energy Use Disclosure. Further, Tenant hereby releases Landlord from any and all losses, costs, damages, expenses and liabilities relating to, arising out of and/or resulting from any Tenant Energy Use Disclosure. The terms of this Section 13 5 shall survive the expiration or earlier termination of the Lease, as hereby amended.

The terms of this Section 13 29.35 shall survive the expiration or earlier termination of the this Lease, as hereby amended.

Tenant acknowledges that pursuant to California Public Resources Code Section 25402.10 and the regulations adopted pursuant thereto (collectively the “"Energy Disclosure Requirements”"), Landlord may be required to disclose information concerning Tenant’s energy usage at the Building to certain third parties, including, without limitation, prospective purchasers, lenders and tenants of the Building (the “"Tenant Energy Use Disclosure”"). Tenant hereby (iA) consents to all such Tenant Energy Use Disclosures, and (iiB) acknowledges that Landlord shall not be required to notify Tenant of any Tenant Energy Use Disclosure. Further, Tenant hereby releases Landlord from any and all losses, costs, damages, expenses and liabilities relating to, arising out of and/or resulting from any Tenant Energy Use Disclosure. The terms of this Section 13 21.30 shall survive the expiration or earlier termination of the this Lease, as hereby amended.

The terms of this Section 13 6.2 shall survive the expiration or earlier termination of the this Lease, as hereby amended.. 6.3

Tenant acknowledges that pursuant to California Public Resources Code Section 25402.10 and the regulations adopted pursuant thereto (collectively the “"Energy Disclosure Requirements”"), Landlord may be required to disclose information concerning Tenant’s energy usage at the Building to certain third parties, including, without limitation, prospective purchasers, lenders and tenants of the Building (the “"Tenant Energy Use Disclosure”"). Tenant hereby (iA) consents to all such Tenant Energy Use Disclosures, and (iiB) acknowledges that Landlord shall not be required to notify Tenant of any Tenant Energy Use Disclosure, and (C) waives any rights that it may have if Landlord fails to comply with any Energy Disclosure Requirements. Further, Tenant hereby releases Landlord from any and all losses, costs, damages, expenses and liabilities relating to, arising out of and/or resulting from any Tenant Energy Use Disclosure. The terms of this Section 13 Paragraph 44 shall survive the expiration or earlier termination of the this Lease, as hereby amended.

Further, Tenant hereby releases Landlord from any and all losses, costs, damages, expenses and liabilities relating to, arising out of and/or resulting from any Tenant Energy Use Disclosure. The terms of this Section 13 29.39 shall survive the expiration or earlier termination of the this Lease, as hereby amended.

Utility Billing Information. In the event that Tenant is permitted to contract directly for the provision of connection with any electricity, gas and/or water services to the Premises which Tenant is permitted or required by the Lease to contract for directly with the third third-party provider thereof (all in Landlord’s sole and absolute discretion)thereof, Tenant shall promptly, but in no event more than ten (10) business days promptly following its receipt of each and every invoice for such items from the applicable provider, written request by Landlord provide Landlord with a copy of each the invoices received by Tenant from such invoicethird-party providers. Tenant acknowledges that pursuant to California Public Resources Code Section 25402.10 and the regulations adopted pursuant thereto (collectively the “Energy Disclosure Requirements”), Landlord may be required to disclose information concerning Tenant’s energy usage at the Building Premises to certain third parties, including, without limitation, prospective purchasers, lenders and tenants of the Building Buildings (the “Tenant Energy Use Disclosure”). Tenant hereby (iA) consents to all such Tenant Energy Use Disclosures, and (iiB) acknowledges that Landlord shall not be required to notify Tenant of any Tenant Energy Use Disclosure. Further, except to the extent of Landlord’s gross negligence in preparing the Tenant Energy Use Disclosure, Tenant hereby releases Landlord from any and all losses, costs, damages, expenses and liabilities relating to, arising out of and/or resulting from any Tenant Energy Use Disclosure. The terms of this Section 13 8 shall survive the expiration or earlier termination of the Lease, as hereby amended.

Tenant hereby (iA) consents to all such Tenant Energy Use Disclosures, and (iiB) acknowledges that Landlord shall not be required to notify Tenant of any Tenant Energy Use Disclosure. Further, Tenant hereby releases Landlord from any and all losses, costs, damages, expenses and liabilities relating to, arising out of and/or resulting from any Tenant Energy Use Disclosure. The terms of this Section 13 shall survive the expiration or earlier termination of the this Lease, as hereby amended.
