Update Reports. Until Supplier has achieved Resolution of an Incident, Supplier will provide update reports to the Province in accordance with the frequency set out in the table below, or as frequently as reasonably directed by the Province, updating the Province on the status of the Incident and Supplier’s Resolution (or process of Resolution) thereof, including the status of Supplier’s implementation of its corrective action plan, and any information reasonably requested by the Province:

Update Reports. Commencing on January 1 of the first year following the Closing Date, Parent shall, on January 1 and June 30 of each year during the during the period commencing upon the Closing Date and expiring upon June 30 during the year after the last back-end date for the Milestones, send to Holders’ Representative a report regarding the status of its (and its Affiliates) efforts to achieve the Milestones and a statement setting forth, in reasonable detail, a calculation of the PCM Revenue recognized during the prior six months) (each such report, an “Update Report”). If Holders’ Representative requests a meeting with Parent to discuss any Update Report within thirty (30) days after receipt thereof, Parent shall make available for such a meeting such of its and its Affiliates respective employees with appropriate expertise and knowledge of the activities undertaken to achieve the Milestones, including an officer with operating responsibility for such activities. In addition, for thirty (30) days after delivery of each Update Report, Parent shall make available a qualified, designated employee of Parent or its Affiliate with appropriate expertise to respond telephonically or electronically to questions posed by Holders’ Representative.
Update Reports. Until the earlier of (a) termination of diligence obligations pursuant to Section 2.14(b), and (b) such time as all Milestone Payments have been paid in full, Buyer shall send to Seller a status report of the development, manufacture and commercialization of Seller Compounds and Products and the status of efforts to achieve the Milestone Events in January and June of each year (each such report, an “Update Report”), with the first such Update Report due in January 2013. Within thirty (30) days after receipt of an Update Report, if Seller requests a meeting with representatives of Buyer to discuss such report, Buyer shall use its commercially reasonable best efforts to make available for such a meeting, upon reasonable notice during regular business hours, those of its employees and representatives as are responsible for the applicable activities set forth in the Update Report.

If the Stockholder Representative requests a meeting with Parent to discuss any Update Report within thirty (30) days after receipt thereof, Parent shall make available for such a meeting such of its and the applicable Milestone Obligor’s respective employees and Representatives with appropriate expertise and knowledge of the activities undertaken to achieve the Approval Milestone and commercialize Niclosamide Products, including an officer with operating responsibility for such activities. In addition, for thirty (30) days after delivery of each Update Report, Parent shall make available a qualified, designated employee of Parent or the applicable Milestone Obligors with appropriate expertise to respond telephonically or electronically to questions posed by the Stockholder Representative. Parent’s obligations under this Section 3.6(g) will terminate upon the achievement of the Sales Milestone Cap.

The employee shall sign in one of the places provided within seven (7) calendar days. The employee shall receive a copy of the evaluation report at the time of signing. An evaluation report shall not be changed after an employee has signed it, without the knowledge of the employee, and any such changes shall be subject to the grievance procedure.

  • Usage Reports The Contractor shall submit usage reports on an annual basis to the assigned Deputy Purchasing Agent of the County of Orange user agency/department. The usage report shall be in a format specified by the user agency/department and shall be submitted 90 days prior to the expiration date of the contract term, or any subsequent renewal term, if applicable.
