UBICS Common Stock Sample Clauses

UBICS Common Stock. The authorized capitalization of UBICS consists of (i) 20,000,000 shares of UBICS Common Stock, of which 6,500,000 shares are issued and outstanding and (ii) 2,000,000 shares of preferred stock, par value $.01 per share, none of which are issued and outstanding. All of the issued and outstanding shares of UBICS Common Stock have been duly authorized and validly issued in compliance with applicable Governmental Rules relating to the issuance of securities and are fully paid and non-assessable. The shares of UBICS Common Stock to be issued in the Exchange, when issued in accordance with the terms of this Agreement, will be duly authorized and validly issued in compliance with applicable United States federal and state Governmental Rules relating to the issuance of securities, fully paid and nonassessable, and the issuance of all such shares is not subject to any preemptive rights.
