Common use of Transporter Clause in Contracts

Transporter. i. is a corporation duly organized, validly existing, and in good standing under the laws of its state of incorporation; ii. is duly qualified to do business in each jurisdiction where the nature of its activities requires it to be so qualified; and iii. has full power and authority under its Certificate of Incorporation, Bylaws, Regulations or other constitutional or similar documents and the laws of the state of its incorporation to execute, deliver, and perform this Contract.
