Transition to Next Contractor. Requirements in Event of Transition. In the event the CONTRACTOR is not awarded an Agreement to continue to provide Collection Services following the expiration or early termination of this Agreement, the CONTACTOR shall cooperate fully with the CITY and any subsequent contractors to assure a smooth transition of services described in this Agreement. Unless otherwise agreed by the CITY and the CONTRACTOR, such cooperation shall consist of: (a) providing the following information to the subsequent contractor: routing information, route maps, vehicle fleet information (if the subsequent contractor buys the CONTRACTOR’s vehicle fleet), a list of Service Recipients’ contact information and their respective Service Levels, a complete inventory of all Carts and Bins (if the subsequent Contractor buys the CONTRACTOR’s Carts and Bins), and any other information deemed necessary by the CITY; and (b) providing adequate labor and equipment to complete performance of all Collection Services required under this Agreement. The CONTRACTOR shall not be eligible for the recovery of any costs associated with these transition activities. However, if the CONTRACTOR is requested to provide additional transition services outside the scope of this Collection Service Agreement the CONTRACTOR shall be compensated for such services at an amount to be agreed upon between the CITY and the CONTRACTOR prior to the provision of those services.
