Common use of Transfer of Shares; Uncertificated Securities Clause in Contracts

Transfer of Shares; Uncertificated Securities. Where a Shareholder does not hold a certificate representing the number of Shares in his account and does provide the Transfer Agent with instructions for the transfer of such Shares and such other appropriate documentation to permit a transfer as specified in the Prospectus relating to such Shares, then the Transfer Agent shall register such Shares and shall deliver them pursuant to instructions received from the transferor, pursuant to the rules of the exchange upon which Shares are listed (if any), the rules and regulations of the SEC, and the law of the State of Maryland relating to the transfer of shares of common stock.

Where a Shareholder does not hold a certificate representing the number of Shares in his account and does provide the Transfer Agent with written instructions for the transfer of such Shares Shares, which include a signature guaranteed by a national bank, a member of a National Securities Exchange or such other person as may be acceptable to the Transfer Agent, and such other appropriate documentation to permit a transfer as specified in the Prospectus relating to such Sharestransfer, then the Transfer Agent shall register such Shares and shall deliver them pursuant to instructions received from the transferor, pursuant puruant to the rules of the exchange upon which Shares are listed (if any), the rules and regulations of the SEC, and the law of the State of Maryland and other applicable law relating to the transfer of shares of common stock.

Where a Shareholder shareholder does not hold a certificate representing the number of Shares in his its account and does provide the Transfer Agent RSMC with instructions for the transfer of such Shares which include a signature guaranteed by a commercial bank, trust company or member firm of a national securities exchange and such other appropriate documentation to permit a transfer as specified in the Prospectus relating to such Sharestransfer, then the Transfer Agent RSMC shall register such Shares and shall deliver them pursuant to instructions received from the transferor, pursuant to the rules of the exchange upon which Shares are listed (if any), the rules and regulations of the Securities and Exchange Commission (the "SEC"), and the law laws of the State of Maryland relating to the transfer of shares of common stock.
