Common use of Transaction of Business Clause in Contracts

Transaction of Business. The powers of a committee of the board may be exercised by a meeting at which a quorum is present or by resolution in writing signed by all the members of such committee who would have been entitled to vote on that resolution at a meeting of the committee. Meetings of such committee may be held at any place in or outside of Québec and, subject to the provisions of paragraph 3.14 which apply with the necessary modifications, the meetings may be held by telephone, electronic or other communication facility.
