Title to Division Assets; Liens and Encumbrances. (i) The Seller has, or on the Closing Date will have, good and marketable title to and is the sole owner of (or has valid and enforceable leases for) the Division Assets. Except as set forth on Schedule 7(d)(i), all of the Division Assets are free and clear of any and all claims, liens, encumbrances, security interests, judgments, and charges of every nature whatsoever (collectively, "Liens"). At the Closing, the Buyer shall acquire all the Division Assets free and clear of all Liens, except for liens for Taxes which have been accrued but are not yet due and payable (it being agreed that Seller shall maintain appropriate reserves therefor and shall pay such Taxes when due) and security interests arising by law in favor of vendors in respect of the purchase of inventory (it being agreed that all invoices of such vendors in respect thereof shall be paid by the Seller in the ordinary course of business) (collectively, the "Permitted Liens").
