Third Party Payment Services. Use of third party payment services is subject to the terms and conditions imposed by the third party service providers sponsoring or otherwise supporting such services (“Third Party Services Terms and Conditions”). ▇▇▇▇▇▇▇▇ agrees to comply with all applicable Third Party Services Terms and Conditions and should refer to the website of the applicable service provider and other documents provided by such service provider from time to time for the current terms and conditions. ▇▇▇▇▇▇▇▇ agrees to indemnify Heartland for any losses or liabilities arising from ▇▇▇▇▇▇▇▇’s breach of any Third Party Services Terms and Conditions. Also, in Heartland’s reasonable discretion, such a breach by Merchant may be deemed by Heartland to be a breach of the Equipment Agreement and the Merchant Processing Agreement.

From time to time, we will use a third party not affiliated with us to process payments for the subscription to access the App, such as “Stripe” (a Third Party Processor). When using such Third Party Processor you may be subject to additional terms of use/service and privacy policy(ies) of the Third Party Processor.

You agree that this Third Party Processor is solely responsible for controlling, handling, processing, or fulfilling purchases processed through its systems. Third Party Payment Services. In order to use Stripe, Inc. (“Stripe”) for Payment Processing of your purchased Services, you must agree to Stripe’s Account Agreement. No transactions will occur with the NDTalk until you click a “Book Now”, “Add to Cart”, “Purchase”, or “Get Started” buttons (or other similar syntax) and are redirected to the third-party Server and prompted for payment. In addition to other terms and conditions herein as it relates to your clients’ payments to you, you hereby agree that: • NDTalk may conduct certain activities related to Stripe Payment Processing Services such as communication of information about transactions and refunds, Stripe account balance adjustments, the handling of disputes (including chargebacks), as well as other features as described in Stripe documentation. • certain use, recurring, or application fees that may be charged to you for your use of Stripe Payment Processing Services. • NDTalk may use and may share with Stripe, and Stripe may use and share with NDTalk, all Transaction Data, Payment Data, data about your account, your activity on their Stripe accounts, and transactions. In addition, You hereby grant permission to NDTalk to work with and interact with Stripe, in order to copy your Transaction Data, Payment Data, and User Data from your account to the Service, for the benefit of facilitating or improving use or interoperability of the Stripe payment processing services with the Services. As a condition of NDTalk enabling payment processing services through Stripe, you must provide NDTalk accurate and complete information about you and your legal entity.

Third Party Payment Services. The Software uses a Third-Party Service provider to provide payment processing services (“Payment Services”) to Customer for the payment of On-Going Fees and Airia Services fees. By using the Airia Services, Customer agrees to all applicable Payment Services’ terms and credit card and bank account authorizations. Customer agrees Airia will not be held liable for any monetary transactions that occur through Customer’s use of the Airia Services or for any issues relating to the Payment Services. Customer must maintain at least $10.00 in its Airia Payment Services account (“Minimum Balance”) for all On- Going Fees. Customer authorizes Airia to charge Customer’s Payment Services account or registered payment method for all fees, to maintain the Minimum Balance, and for any Payment Services processing fee where allowed under applicable law, without any further notice or consent being required. Customer acknowledges any On-Going Fees shown in the Airia Services is an estimate and Customer is responsible for confirming the correct amounts with the Third-Party Services provider and for the actual amount owed.
