the Retained Sum. (b) Upon payment in full by the Distribution Licensee of the amount set out in D.2.1(a), all the Feed-in Approval Xxxxxx’s rights, title and interest in the Project and the Site (including the Access Rights) shall simultaneously be transferred by the Feed-in Approval Holder to the Distribution Licensee (or its nominees) free from any encumbrance whatsoever.
