Termination; Rights on Termination. Executive’s employment under this Agreement may be terminated by either party at any time and for any reason; provided, however, that Executive shall be required to give the Company at least 60 days advance written notice of any resignation of Executive’s employment hereunder (and in such event, the Company may in its sole discretion elect to accelerate Executive’s date of termination of employment and pay to Executive the Base Salary that he would have received during such 60-day period). Notwithstanding the foregoing, Executive’s employment shall automatically terminate upon Executive’s death.
