Executive’s employment is at-will but the benefits, if any, Executive receives upon termination are dependent on the reason for termination and are described below in this Section 4. Upon termination of Executive’s employment for any reason, Executive agrees to resign, effective on the Termination Date, or shall be deemed to have resigned, from all positions that Executive holds as an officer or member of the Board (or a committee thereof), or any of the Company’s Affiliates; provided, however, that any such resignation shall not impact or otherwise diminish Executive’s rights to compensation upon termination as provided in this Section 4.

Executive’s employment under this Agreement may be terminated by either party at any time and for any reason; provided, however, that Executive shall be required to give the Company at least 60 days advance written notice of any resignation of Executive’s employment hereunder (and in such event, the Company may in its sole discretion elect to accelerate Executive’s date of termination of employment and pay to Executive the Base Salary that he would have received during such 60-day period). Notwithstanding the foregoing, Executive’s employment shall automatically terminate upon Executive’s death.
