Termination on Customer Default. 15.1.1 If during the Term the Customer: fails to make payment of any amount (other than any amount being disputed in good faith in accordance with clause 13.3 (Disputed Invoices)) of money exceeding [10]% of the annual Contract Price that is due and payable by the Customer in accordance with the terms of the Agreement within [45] days of the date that the amount fell due for payment; or breaches any of its obligations under the Agreement which substantially frustrates or renders it impossible for the Provider to perform its obligations under the Agreement for a continuous period of [2] months, (an Customer Default), the Provider may, without prejudice to any rights or remedies already accrued, elect to terminate the Agreement in accordance with clauses 15.1.2 and 15.1.3 below.
