Common use of Termination of Employment by the Executive Clause in Contracts

Termination of Employment by the Executive. The Executive shall be entitled to terminate his Employment, by delivery of a notice of termination to the Corporation: (1) for Good Reason at any time within one hundred eighty (180) days after the facts or circumstances constituting that Good Reason first exist and are known to the Executive, (ii) in the event of his Disability, as provided in Section 14(c), or (iv) without Good Reason and other than for Disability at any time. If the Executive terminates his Employment for Good Reason, the Corporation shall pay to the Executive in a cash lump sum within five (5) business days after the date the Corporation receives the Executive's notice of termination, an amount equal to the sum of Accrued Benefits plus the Severance Payment, and shall continue to provide health insurance benefits for the Executive, his spouse and minor children (on the same terms in effect on the Termination date) for a period of three (3) years after the termination date.
